Welcome to Lexsis AI, an AI-powered growth intelligence platform operated by AETHERIA LABS PRIVATE LIMITED ("we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our platform, products, and related services available at https://www.trylexsis.com. By accessing or using Lexsis AI, you agree to be bound by these Terms. If you do not agree, you must stop using our services immediately.

Definitions

For the purposes of these Terms:

"Platform" means the Lexsis AI web application and all associated services accessible at https://www.trylexsis.com.
"Services" means all features, tools, and functionality available through the Platform, including AI-powered analytics, intelligence tools, integrations, and reporting capabilities.
"Customer Data" means any data you upload, connect, or generate through your use of the Platform, including data from Connected Sources.
"AI Agents" means automated AI-powered systems provided through the Platform that interact with your customers on your behalf across supported communication channels.
"Connected Sources" means third-party tools, platforms, and data sources you integrate with Lexsis AI.
"End Users" means your customers or other individuals who interact with AI Agents or whose data is processed through the Platform.

Eligibility

You may use our Services only if you are authorized to enter into a binding agreement on behalf of your organization and can comply with these Terms. By using Lexsis AI, you confirm that any information you provide is accurate, complete, and current.

Account Registration

To access certain features, you may need to create an account. You are responsible for:

Providing accurate and current account information
Maintaining the confidentiality of your login credentials
All activity that occurs under your account

We may suspend or terminate your account if we detect fraudulent, unlawful, or abusive activity.

Lexsis AI is an AI-powered growth intelligence platform built for consumer brands. The Platform provides capabilities including:

Analytics and intelligence: real-time dashboards, automated reports, AI-powered queries, and trend detection across your customer signals
Decision modeling: AI-powered tools that model business decisions against real customer data to forecast outcomes
Signal unification: aggregation and analysis of customer data from multiple connected sources
AI-powered agents: automated agents that handle customer conversations across supported communication channels on your behalf
Audience intelligence: segment-level insights enabling targeted retention and growth actions

Features and capabilities may vary based on your subscription plan.

Use of the Service

You may use Lexsis AI only as permitted by these Terms and applicable law. You agree not to:

Use the Service for unlawful or harmful activities
Attempt to access or disrupt systems without authorization
Reverse engineer, copy, or modify any part of the Platform
Upload malicious code, spam, or engage in automated scraping
Infringe on the intellectual property rights of Lexsis AI or others

We may limit or suspend access if your usage negatively impacts system stability or security.

Acceptable Use Policy for AI Agents

When using AI Agents through the Platform, you agree to:

Not mislead consumers about the AI nature of the interaction where disclosure is required by applicable law
Not use agents to send spam, unsolicited messages, or engage in harassment
Not use agents for any illegal communications or activities
Comply with channel-specific rules and policies (e.g., WhatsApp Business Policy, SMS carrier requirements, email anti-spam laws)
Configure agent behavior appropriately for your use case, including tone, scope, and escalation rules
Maintain accessible human escalation paths for your customers
Regularly review agent performance and conversation quality

We reserve the right to disable AI Agent functionality if we determine it is being used in violation of these Terms.

Customer Data

You retain ownership of all Customer Data. By using the Platform, you grant us a limited license to process your data strictly to deliver the Services. We do not claim ownership of your content.

When you connect third-party sources, you authorize us to access and process data from those sources for the purpose of delivering Platform features.

AI & Model Training

By default, we do not use your personal or connected business data to train machine-learning models.

Model improvements rely on:

Synthetic data
Public datasets
Aggregated and anonymized patterns that do not identify you or your customers

You may opt into additional data-usage programs only through a separate written agreement.

AI Agent Terms

AI Agents are a powerful feature of the Platform. By using them, you acknowledge the following:

AI Agents operate based on your configuration and instructions. You control agent behavior through the settings and prompts you provide.
AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate despite our best efforts to maintain quality.
You are responsible for reviewing agent performance and the quality of responses delivered to your customers.
We are not liable for any actions, decisions, or consequences arising from AI Agent interactions with your End Users.
Where required by applicable law, you must disclose to your End Users that they are interacting with an AI system.
Content generated by AI Agents on your behalf is your responsibility.
We may update AI models and capabilities from time to time, which may affect response quality or behavior.

Multi-Channel Communication Compliance

When using AI Agents or other Platform features to communicate with End Users across channels, you are responsible for complying with applicable regulations:

Complying with WhatsApp Business Policy and Meta Platform Terms.

SMS and Voice

Complying with applicable telecom regulations including TCPA (United States), TRAI regulations (India), and equivalent laws in your jurisdiction. You must obtain proper consent before sending automated messages or making automated calls.

Email

Complying with CAN-SPAM Act (US), GDPR consent requirements (EU/UK), and applicable anti-spam laws in your jurisdiction.

Social Media

Complying with the terms of service of each platform, including Instagram, X/Twitter, TikTok, and Facebook/Messenger.

You must obtain and maintain all necessary consents from End Users before initiating outbound communications through any channel.

Integrations & Third-Party Services

Lexsis AI supports integrations with a wide range of third-party services. When you connect third-party tools, you authorize us to process data as follows:

As needed to fulfill your requests
Only for the duration of the operation unless you explicitly choose to store it

Access tokens and credentials are stored securely and can be revoked at any time.

We are not responsible for the practices, policies, or availability of third-party services. Third-party services are governed by their own terms and conditions.

Intellectual Property

Lexsis AI owns all rights to the software, platform features, trademarks, algorithms, models, and documentation. These Terms do not grant you any rights to our intellectual property except for the limited usage rights required to use the Service.

Insights and reports generated from your Customer Data belong to you. However, the underlying models, algorithms, and platform technology used to generate those insights remain our property.

Service Changes

We may update or modify features, functionality, or availability of the Platform. We will provide reasonable notice when changes materially impact your use.

We may discontinue services or specific features at any time.

Fair Use and Rate Limits

While we do not impose per-seat charges, the Platform is intended for reasonable business use. We reserve the right to:

Implement rate limits or usage thresholds to ensure platform stability
Throttle or restrict usage that we determine to be excessive, abusive, or outside normal business patterns
Contact you to discuss usage if it significantly exceeds typical patterns for your plan

Subscription & Billing

Access to Lexsis AI may require a paid subscription. A free tier is available with limited usage (up to 200 feedback items). Paid plans are tailored to your requirements.

By purchasing a subscription, you agree to:

Pay all applicable fees on time
Maintain accurate billing information

Fees are non-refundable unless required by law or stated otherwise in a written agreement. Pricing may change with reasonable notice.

Service Availability

We use commercially reasonable efforts to maintain Platform availability. However:

We do not guarantee specific uptime percentages unless stated in a separate Service Level Agreement (SLA)
Planned maintenance will be communicated with reasonable advance notice where possible
We are not liable for downtime caused by factors beyond our reasonable control

Termination

We may suspend or terminate your account if you violate these Terms or if your usage poses a risk to our systems or other customers.

You may stop using Lexsis AI at any time. Upon termination:

Your access to the Platform is disabled
We will delete or anonymize your data according to our data retention policies
You may request a data export before termination takes effect

Data Processing Agreement

For enterprise customers requiring a Data Processing Agreement (DPA) under GDPR or other privacy regulations, we provide a DPA upon request.

Disclaimers

Lexsis AI is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee:

Error-free operation of the Platform
Continuous availability of any feature or service
Accuracy of output or insights generated by the Platform
Accuracy or appropriateness of AI Agent responses

AI-generated content, including Agent responses, insights, and simulation results, is provided for informational purposes and should not be the sole basis for significant business decisions without independent verification.

You use the Platform at your own risk.

Limitation of Liability

To the fullest extent permitted by applicable law, Lexsis AI will not be liable for:

Lost profits or revenue
Loss of data
Business interruption
Indirect, incidental, or consequential damages
Actions or decisions by End Users based on AI Agent interactions

Our total liability will not exceed the fees you have paid in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Lexsis AI, AETHERIA LABS PRIVATE LIMITED, and its officers, directors, and employees from any claims, damages, losses, or legal fees arising from:

Your use of the Service
Your violation of these Terms
Infringement of third-party rights
Your use of AI Agents and the content they generate on your behalf
Your failure to comply with applicable communication regulations

Dispute Resolution

Any dispute arising from these Terms will first be addressed through good-faith negotiation for a period of 30 days.

If unresolved, disputes will be settled by binding arbitration in Pune, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996.

Governing Law

These Terms are governed by the laws of India. Any disputes not subject to arbitration will be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Modifications to Terms

We may update these Terms from time to time. Updated versions will be posted with a new "Last updated" date. Material changes will be communicated via the Platform or email.

Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
